A Meeting of the Board should be called by giving a Notice in writing to every Director Sub–section (3) of Section 173 read with Rule 3(3)(a) of the Companies (Meetings of Board and its Powers) Rules, 2014. Notice of the Meeting should be given to all the Directors.

Non-profit organizations typically have board meetings that last between one and two hours when held monthly, and up to eight hours for quarterly meetings. As a rule, these meetings focus on fundraising and community impact.

- Meetings at shorter notices should be held only to transact emergency business. In such meetings the mandatory presence of at least one Independent Director should be required since this would ensure that only well considered decisions are taken.

A meeting of the Board shall be convened by giving not less than seven days' notice in writing to every director at his address registered with the company, and such notice shall be sent by hand or by post, or by electronic means.

Use a formal statement: Clearly state, “I now call this meeting to order.” This signifies the official start of the meeting.

PREPARING A PUBLIC NOTICE The Open Meetings Law requires that notice of the time and place of all meetings of a public body be given prior to every meeting. The notice must include reference to the date, time and location of the meeting.

Normally, non-director officers may be invited to attend all or particular meeting of the board, especially the secretary of the corporation for the purpose of keeping minutes of the proceeding. Also, outside counsel of the corporation are frequently invited to attend.
