Unless an association's governing documents provide otherwise, the rights to attend board meetings which are provided for in the Open Meeting Act are reserved for the association's members. (Civ. Code § 4925.) A member's right to attend board meetings extends to open meetings, not executive session meetings.

Since there is no expectation of privacy in the open portion of the HOA meeting, and since Texas is a one-party consent state for recording even private conversations, it is not unlawful for a person attending a board meeting to record the meeting.

The Davis-Stirling Act in California spells out the rules for open meetings, which greatly affects when and how HOA boards can have closed meetings. Section 4900 of the Act says that all HOA board meetings must be open to all association members, with a few exceptions for private sessions.

In California, Civil Code Section 4925 dictates that any member may attend the non-executive portion of board meetings. Your governing documents will usually tell you who qualifies as a member. For a majority of HOAs, members are those who own lots or units within the association.

Private Meetings: In Texas, board members can meet privately to discuss certain topics, such as personnel matters or legal issues.

For instance, California's Civil Code Section 4925 states that members can attend any non-executive portion of board meetings. For most HOAs, association members are allowed to attend most meetings. But, the term “member” is often dictated by what the governing documents consider an association member.
