Maine Articles of Amendment are legal documents that are used to make changes to an existing business entity’s formation documents, such as articles of organization or incorporation. There are three types of Maine Articles of Amendment: Name Amendment, Address Amendment, and Amendment of Other Provisions. A Name Amendment is used to change a business entity’s name. The new name must be available for registration in the state of Maine and must contain a recognized business entity designation, such as “Corporation” or “LLC.” An Address Amendment is used to change the business entity’s registered office address. The new address must be located in the state of Maine. An Amendment of Other Provisions is used to make any other changes to the formation documents, such as changes to the business entity’s purpose, powers, or governing body. Maine Articles of Amendment must be signed by a majority of the business entity’s governing body, or, in the case of a corporation, by its president, vice-president, or secretary. The amended formation documents must then be filed with the Maine Secretary of State.
