Minnesota Articles of Dissolution and Termination are documents that legally end a business entity in the state of Minnesota. There are three types of Minnesota Articles of Dissolution and Termination: Articles of Dissolution, Articles of Termination, and Articles of Cancellation. Articles of Dissolution are filed when a corporation, limited liability company, or nonprofit corporation wants to dissolve and end its existence as a business entity. It must include the business’s name, purpose, and the date of dissolution; the name and address of the registered agent; the name and address of each incorporated, director, or officer; and the signature of the incorporated, director, or officer. Articles of Termination are filed when a limited liability partnership (LLP) wants to terminate its existence. It must include the partnership's name, purpose, and the date of termination; the address of the partnership; the name and address of each partner; and the signature of each partner. Articles of Cancellation are filed when a limited partnership (LP) wants to end its existence. It must include the partnership's name, purpose, and the date of cancellation; the name and address of each partner; the name and address of the registered agent; and the signature of each partner. All Minnesota Articles of Dissolution and Termination must be filed with the Minnesota Secretary of State. Once filed, the entity is officially dissolved or terminated.
