South Dakota Statement of Qualification of A Foreign Limited Liability Partnership (LLP) is a document that a foreign limited liability partnership (LLP) must file with the South Dakota Secretary of State to be recognized as a legal entity within the state. This document is required for any foreign LLP that wants to conduct business in South Dakota. The Statement of Qualification of A Foreign Limited Liability Partnership must be signed by all the LLP's general partners and executed under penalty of perjury. It must also be accompanied by the required filing fee. The South Dakota Statement of Qualification of A Foreign Limited Liability Partnership includes information such as the LLP's name, its purpose, the address of its principal business office, the names and addresses of all general partners, the name and address of the LLP's registered agent in South Dakota, and any other information the Secretary of State may require. There are three types of South Dakota Statement of Qualification of A Foreign Limited Liability Partnership: a domestic LLP, a foreign LLP, and a foreign registered LLP. A domestic LLP is an LLP formed in South Dakota. A foreign LLP is an LLP formed outside of South Dakota.
