An Affidavit of Payment of Capital Stock is a sworn statement used to certify that an individual or business has paid in full for their shares of capital stock issued by a corporation. Such an affidavit is typically required when registering a corporation with the Secretary of State. It can also be used for other purposes, such as to prove to investors that their investments in the corporation are secure. There are two main types of Affidavit of Payment of Capital Stock: the standard version and the non-cash version. The standard version requires the affine (the individual or business making the payment) to sign a sworn statement attesting to the full payment of the capital stock, and to provide proof of payment. The non-cash version requires the affine to provide a sworn statement that the capital stock was exchanged for goods, services, or other consideration of equal value. In either case, the affidavit must be signed before a notary public or other authorized officer.
