Washington Notice of Approval of Disclosure Statement is a document used by the Washington State Department of Financial Institutions (DFI) to approve and provide notice of a disclosure statement filed by an issuer of securities in the State of Washington. The Washington Notice of Approval of Disclosure Statement is used to provide notice to potential investors of a security offering in the state. It is issued by the DFI upon review of the disclosure statement and is a prerequisite for the issuance of any security in Washington. There are two types of Washington Notice of Approval of Disclosure Statement: a Notice of Registration and a Notice of Exemptions. A Notice of Registration is issued when the DFI has reviewed and approved a registration statement related to the offering of securities in Washington. A Notice of Exemptions is issued when the DFI has reviewed and approved an offering of securities that qualifies for an exemption from registration requirements in Washington.
