El capitulo IX de la Ley General de Sociedades Mercantiles establece bajo que terminos se puede llevar a cabo una fusion. En primer lugar, cada sociedad debe decidir por si misma si llevara a cabo la fusion. Despues de que se decida, los nuevos acuerdos sobre fusion se inscribiran en el Registro Publico de Comercio.

Fusion pura. Dos o mas companias que se unen y forman una nueva. Fusion por absorcion. Una sociedad absorbe a otra.

Las caracteristicas principales de un proceso de fusion son: Deben participar en ella al menos dos sociedades. Se transmite la totalidad del patrimonio de las empresas absorbidas a la sociedad absorbente. Aquellos socios que formen parte de las empresas absorbidas pasaran a quedar incorporados en la sociedad absorbente.

Para una fusion de empresas deben participar un minimo de dos sociedades. Al realizar la fusion, se transmite en su totalidad el patrimonio de las empresas fusionadas a una sola sociedad. Los socios de las empresas fusionadas se incorporaran a la nueva sociedad creada, manteniendo el valor de sus participaciones.
