This is a non-competition agreement between a company and a corporation. The company agrees not to use divulge, furnish or make accessible to any third person or organization any confidential or proprietary information pertaining to the formation and business plans of the company and the transactions contemplated in connection therewith, or confidential or proprietary information concerning the company or its business or operations which information is not in the public domain, and which information is developed by or comes into possession of the company. This Middlesex Massachusetts Sample Noncom petition Agreement (hereinafter referred to as "Agreement") is made and entered into this [date], between The Marketing Group, Ltd., a company incorporated in Massachusetts with its principal place of business at [address] (hereinafter referred to as "Employer"), and On Site Media, Inc., a company incorporated in Massachusetts with its principal place of business at [address] (hereinafter referred to as "Employee"). 1. This includes but is not limited to soliciting clients, customers, or employees of the Employer for the purpose of diverting business or talent away from the Employer. 4. Consideration and Legal Validity: In consideration of the Employee's employment with the Employer and the confidential information, specialized training, and client relationships the Employee may access, this Agreement is deemed valid and legally binding. 5. Severability: In the event any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. 6. Governing Law and Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the courts located in Middlesex County, Massachusetts. 7. Entire Agreement: This Agreement constitutes the entire agreement between the parties and supersedes any prior agreements or understandings, whether written or oral, relating to the subject herein.
