Rule 504 of Regulation D exempts from registration the offer and sale of up to $10 million of securities in a 12-month period. A company is required to file a notice with the Commission on Form D within 15 days after the first sale of securities in the offering.

Reg. D limits were meant to help banks maintain reserve requirements, one of the Federal Reserve's monetary policy tools. Reg. D requires banks to meet reserve requirements by holding cash either in their vaults or by maintaining the appropriate balance in a Federal Reserve Bank account.

IGE allows for-profit businesses formed under Georgia law to raise up to $5 million from Georgia resident investors. Under IGE, Issuers of securities are limited to selling no more than $10,000 in securities to non-accredited Georgia investors. There is no limit for accredited Georgia investors.

Regulation S is similar to Regulation D in that it provides exemption from registering private securities with the SEC. The main difference is that Regulation S is intended for offerings aimed exclusively at international investors.

Rule 504 provides an exemption to an issuer who is receiving $1,000,000.00 or less in cumulative offering proceeds from investors. Regulation D is a provision that exempts some companies from the registration requirements associated with a public offering. It gives smaller companies access to investment capital by letting them offer specific types of private placements.
