Abuse of a dominant position occurs where a firm holds a position of such economic strength that allows it to operate in a market without being significantly affected by competition and it engages in conduct that is likely to impede the development or maintenance of effective competition.

Consumer Confidence Index (CCI)

(1) Where the Commission is of the opinion that any combination does not, or is not likely to, have an appreciable adverse effect on competition, it shall, by order, approve that combination including the combination in respect of which a notice has been given under sub-section (2) of section 6.

As of now, the benefit of De-Minimis exemption is available where the value of assets being acquired, taken control of, merged or amalgamated [i.e., target] is not more than INR 350 crores in India or turnover is not more than INR 1,000 crores in India.

From the Competition Law perspective, “de minimis” may be defined as some agreements limiting competition which would be subject to examination under normal circumstances but are not taken into account in the application of Competition Law rules, since their effects on the market are insignificant.

1. Combination: As per Section 5 of the Competition Act, acquisition of one or more enterprises or merger or amalgamation of enterprises, which exceeds the threshold prescribed therein shall be a 'Combination' for the purposes of the Act.

The Competition Act is the principal legislation that regulates combinations (acquisitions, mergers, amalgamations and de-mergers) in India. CCI approval is required for combinations where the parties involved exceed the assets/turnover thresholds set out in section 5 of the Competition Act.
