Company bylaws are the rules that govern how a company is run and one of the first items to be established by the board of directors at the time a company is started.

Bylaws generally define things like the group's official name, purpose, requirements for membership, officers' titles and responsibilities, how offices are to be assigned, how meetings should be conducted, and how often meetings will be held.

Corporate bylaws are a detailed set of rules adopted by a corporation's board of directors after the company has been incorporated. They are an important legal document for a corporation to have in place as they specify its internal management structure and how it will be run.

Corporate bylaws are legally required in Tennessee. Per TN Code § 48-12-106 (2019), either the incorporators or directors of a corporation must adopt initial bylaws.

It's possible for a board of directors to adopt bylaws without getting any signatures, but it's a good practice to have all directors and officers sign your bylaws to demonstrate a shared commitment to upholding company policies.
