The Companies Act 2013 ('Act') regulates the company incorporation procedure and the provision of the company registration certificate. A company established in India cannot run its business without the registration certificate granted by the Registrar of Companies (ROC).

Does the Companies Act 2006 apply to Scotland? Companies in Scotland remain governed by the Companies Act 2006, as Scotland has no independent Scottish company law regime. Note though, Scotland has separate registrars in Scotland, as do England and Wales, as does Northern Ireland.

Since the 2006 Act, legislation under the Act or amending the Act or legislation made under it has applied to the whole of the UK. This does not affect the legislative competence of Northern Ireland.
