A Director Resolution creates either the director's minutes or the director's resolution in lieu of meeting for any corporation or organization. To appoint a director, the person proposing to become a Director must obtain a digital signature certificate (DSC) and director identification number (DIN).Initial resolutions for directors are needed to show who has authority to act for the corporation. Minutes of the First Meeting of the Board of Directors (Section 1.3) includes samples of resolutions which may be used to approve these initial actions. The board shall hold its first meeting as soon as possible after the appointment of the initial directors. The first members shall be appointed for a term commencing January 1, 2019.
