A director should submit a written resignation letter that notes the effective date of their departure. In the absence of any provision in the articles or bylaws, the terms shall be one year.No director may resign where the corporation would then be left without a duly elected director or directors in charge of its affairs. Unless the governing documents provide otherwise, boards can appoint an existing director to fill the longer term of a resigning director. Since most companies do not take time to have annual meetings, most directors are simply serving year after year without reelection.
