Definition. A maintenance agreement (contract), sometimes called a service agreement (contract), is an agreement which requires specific performance of repairing, cleaning, altering, or improving tangible personal property on a regular or irregular basis to ensure the product's continued satisfactory operation.
We like to explain the difference between warranty and maintenance in this simple way: maintenance is like changing the oil or filter in your car or getting a tune-up and a warranty is like what your dealership offers with your car in terms of how long aspects of your automobile will be covered.
A warranty is notably different to a service or maintenance plan as it will cover mechanical and parts breakdowns but won't feature regular servicing or wear and tear. The main focus of warranties is parts. A warranty may be included by the manufacturer but they can be extended once they expire.
A maintenance agreement outlines the steps one party will undertake to insure the upkeep, repair, serviceability of another party's property. Maintenance contracts are commonly used by companies that take care of vehicle fleets, industrial equipment, office and apartment buildings, computer networks, etc.
In addition, since a maintenance agreement does not provide for the repair or replacement of property due to a defect in materials or workmanship or wear and tear, a maintenance agreement is not a warranty nor a service contract.

The main objective of contract maintenance is to transfer the responsibility for the maintenance of equipment, facilities and other assets from the client to the contractor, to improve equipment reliability and reduce overall maintenance costs.
