Every company is required to hold 4 Board Meetings in a year. While a Small Company can hold only 2 Board meetings in a calendar year i.e., one board meeting in each half of the calendar year. However, the gap between the two board meetings should not be less than 90 days.
(1) The quorum for a meeting of the Board of Directors of a company shall be one third of its total strength or two directors, whichever is higher, and the participation of the directors by video conferencing or by other audio visual means shall also be counted for the purposes of quorum under this sub-section.

As per Section 173 a board meeting can be called by giving notice for a period of less than 7 days provided atleast one independent director is present at the meeting.
The frequency of board meetings is determined by the organization's bylaws. Most bylaws stipulate that the board must meet at least once a year. However, many organizations have found that meeting more frequently can be beneficial. How often a board should meet ultimately depends on the needs of the organization.

The technical details that must be met to ensure the board can make its decisions. This could be the minimum number of members required for a quorum or the type of majority needed.
Generally speaking, groups of governing bodies will typically need at least half of all member of the group in attendance to have met quorum. Other formation documents may call for a percentage of the body, while others may call for a specific number (i.e. at least 7 board members must be in attendance).
