A corporation shall hold an annual meeting of its shareholders or members, to elect directors and conduct any other business that may come before the meeting. The appointee must hold office until the next annual meeting, at which meeting the stockholders shall elect a director to fill the unexpired term.There are essentially two governance structures available to Michigan nonprofit corporations: directorship and membership.
