There is no general requirement that board minutes be public – though some countries have laws that they must be available to members. However, not-for-profit organisations earn trust by being open about how they handle the public trust that has been granted to them.

Notices of all board meetings must be posted in a conspicuous place in the community at least 48 hours in advance of a meeting, except in an emergency.

Email communications between board members are allowed, even if they discuss association business. The Court of Appeal addressed the issue in LNSU #1 v. Alta Del Mar Coastal Collection Cmty.

Location does not matter. Whether the meeting occurs at a bar, a restaurant, or even just out on the street, as long as a quorum of board members and HOA business is discussed, it technically counts as a meeting. Many board members participate in informal meetings, unknowingly or otherwise.

An informal meeting has a looser agenda and fewer protocols. In general, formal meetings tend to focus on one or a few key speakers, with attendees playing a more passive role. Informal meetings are often more collaborative discussions, with everyone taking a turn in the spotlight.

Directors may meet informally and may do so without being physically together. for there to have been a valid directors' meeting there must have been a genuine meeting of minds of the directors, so that in reality they have met, considered and decided.

One example of a state with open meeting laws is Florida. Section 720.303(2)(a) of the Florida Statutes dictates that board meetings must be open to all members. The only exceptions to this are meetings between the board and its attorney when discussing pending litigation.

That said, there are two exceptions to the open meeting requirements. A board may choose to hold a closed-session meeting if they need to either: Meet with an attorney, or. Discuss personnel matters.

It may be helpful to record board meetings, other leadership meetings, or even organizational membership meetings, such as in case of any disagreement over what happened or to help a secretary prepare minutes. Such recording should never become a substitute for written minutes, but rather only serve as an aid.
