1.3. 2 Notice shall be issued by the Company Secretary or where there is no Company Secretary, any Director or any other person authorised by the Board for the purpose. 1.3. 3 The Notice shall specify the serial number, day, date, time and full address of the venue of the Meeting.

Section 173 of the Act deals with Meetings of the Board and Section 174 deals with quorum. 1. The Act provides that the first Board meeting should be held within thirty days of the date of incorporation.

A Meeting of the Board should be called by giving a Notice in writing to every Director Sub–section (3) of Section 173 read with Rule 3(3)(a) of the Companies (Meetings of Board and its Powers) Rules, 2014. Notice of the Meeting should be given to all the Directors.

The following steps to running a board meeting are: Recognizing a quorum. Calling the meeting to order. Approving the agenda and minutes. Allowing for communication and reports. Addressing old/new/other business. Closing the meeting.

Most board meeting agendas follow a classic meeting structure: Calling meeting to order – ensure you have quorum. Approve the agenda and prior board meeting minutes. Executive and committee reports – allow 25% of time here for key topic discussion. Old/new/other business. Close the meeting and adjourn.

The First Meeting of Board of Directors to be conducted within 30 days from the date of Incorporation of the company. The meeting may be conducted at any time that is fixed by the Board and the place of the meeting would be at registered offices or any other place in or outside India.

(1) A meeting of the Board shall be held not less than once in every three months and at least four such meetings shall be held in every year.

Larger companies generally have monthly meetings. Smaller companies may find quarterly meetings more effective. The effect of board meetings will be weakened if there are too many. Limited companies must hold a board meeting if any director or shareholders representing more than 5% of voting rights request one.

Every company is required to hold 4 Board Meetings in a year. While a Small Company can hold only 2 Board meetings in a calendar year i.e.County board meeting schedules, agendas, minutes and videos.
