To start a corporation in Michigan, you'll need to do three things: appoint a registered agent, choose a name for your business, and file Articles of Incorporation with the Department of Licensing and Regulatory Affairs (LARA). You can file this document online, by mail or in person.

The report must be filed each year that you operate an LLC within Michigan. The deadline for filing is February 15, unless your business was started after September 30 of the prior year, and then it will not be required to be filed until the following year's deadline.

Sec. 251. (1) Except if required by law to incorporate under another statute of this state, a corporation may be formed under this act for any lawful purposes not involving pecuniary gain or profit for its officers, directors, shareholders, or members.

Michigan Corporation Bylaws. Corporate bylaws are a written agreement that establishes the rules governing how your corporation will function. Although Michigan corporations are required to create bylaws, your bylaws do not have to be filed with the state.

The basic intent of the Michigan Open Meetings Act is to require public bodies to conduct business at open meetings. The Act applies to any local governing body (including a board, commission, committee, subcommittee, or authority).

The Open Meetings Act (Government Code, Chapter 551) provides that meetings of governmental bodies must be open to the public (except for expressly authorized executive sessions).

Prompt notice of the taking of the corporate action without a meeting by less than unanimous written consent shall be given to shareholders that would have been entitled to notice of the shareholder meeting if the action had been taken at a meeting and that have not consented to the action in writing.

Michigan's Open Meetings Act (OMA), 1976 PA 267, MCL 15.261 et seq. requires public bodies to hold public meetings if a quorum of the board is present. In addition, any decisions or discussions on matters that could pertain to a decision must also be conducted in a public meeting.

15.272 Violation as misdemeanor; penalty. Sec. 12. (1) A public official who intentionally violates this act is guilty of a misdemeanor punishable by a fine of not more than $1,000.00.
