Michigan law provides that every contract imposes upon each party a duty of good faith in its performance and enforcement. The duty of good faith and fair dealing is implied in every contract.(a) The seller in good faith makes a substantial beginning of performance of the contract before the buyer gives notice of cancellation. In Michigan, all contracts, except employment contracts, have been construed to include an implied duty of good faith and fair dealing.
