How much notice must be given? The general rule is that at least 21 days' notice must be given, although constitutions may specify longer. More than 28 days' notice must be given for listed companies regardless of what the company constitution says (s 249HA).

A meeting notice should include the following key details: Name and contact information of the meeting chair. Name and role of the sender of the meeting notice. Names and roles of all the invitees. Type of meeting — regular, annual, or special. Date, time and location of the meeting (the notice should also be dated)

Three days before a special meeting, a public body must post written notice on its principal bulletin board or usual meeting room door. (For example, a public body must post by Tuesday for a Friday meeting.) The posted notice must include the date, time, and place of the special meeting.

In addition to specifying the date, time and location of the meeting, special meeting notices should make note of all agenda items. Unless the bylaws indicate something different, board members should only be discussing the business that was stated in the notice for the special meeting.

A special meeting requires at least seven days and no more than 30 days notice to the members.Regularly Scheduled Board Meetings. An annual meeting of members must be held at the time and place stated in or fixed in accordance with the articles or bylaws. The notice requirements depend on the type of meeting. Notice of the annual meeting must be given to members at least 21 days but no more than 30 days before the meeting date. Written notice of regular and annual meetings shall be given to the members at least fifteen (15) days prior to the meeting. May participate in the annual election of Directors. c. Any business may be transacted at any meeting without mention of such business in the notice.
