The Act applies only to: (1) federal agencies headed by collegial bodies—i.e., boards, councils, and commissions—a majority of whose members are presidentially appointed and Senate confirmed; and (2) any subdivision of such an agency authorized to act on its behalf.

Corporate bylaws are legally required in North Carolina. NC Gen. Stat. § 55-2-06 requires a corporation's incorporators or board of directors to adopt initial bylaws. The law doesn't specify when bylaws must be adopted, but this usually happens at the first organizational meeting.

The Open Meetings Act (Government Code, Chapter 551) provides that meetings of governmental bodies must be open to the public (except for expressly authorized executive sessions).
