You do not always need to have a meeting to pass a resolution. If enough shareholders or directors have told you they agree, you can usually confirm the resolution in writing. You must write to all shareholders letting them know about the outcome of a resolution.

Board directors and shareholders are the only members of the company that can make company resolutions. When the board of directors make a formal decision, it is referred to as a board resolution, whereas when the company shareholders make a formal decision, it is referred to as a shareholder resolution.

A shareholders' resolution can either be passed during a formal meeting of the shareholders or in writing (without holding an actual meeting). Regardless of the method, the resolutions must be passed in ance with certain statutory, and possibly contractual, requirements.

There are two main types of shareholders' resolution: 'ordinary' and 'special'. An ordinary resolution is passed by a simple majority of members, while a special resolution requires not less than 75% of the total voting rights of eligible members.

Record and Maintain Once adopted, the corporate resolution should be carefully logged and archived. It becomes a part of the company's official records and may be needed for future reference or legal compliance. Such a resolution can be passed at any time, and must be filed at Companies House. Once this resolution has been passed by the shareholders, the company does not need to amend its articles to give the directors the power to authorise conflicts – the ordinary resolution will suffice.
