MGT-14 is required for appointment including re-appointment of MD and variation in the terms and conditions of appointment of MD. Variation includes increase or decrease in remuneration also.

On appointment of managerial personnel such as manager, managing director or whole-time director, the company shall file a return of such appointment in webform MR-1 with the Registrar within sixty days of appointment.

(5) Every company existing on or before the date of commencement of this Act shall, within one year from such commencement or from the date of notification of the rules in this regard as may be applicable, comply with the requirements of the provisions of sub-section (4).

Conduct general meeting The company may pass a resolution to appoint a director in an Annual General Meeting (AGM). If the company decides to appoint a director in the middle of the year, it may appoint a director by passing a resolution in an Extraordinary General Meeting (EGM).

The minimum age limit for the appointment of a managing director is above 21 years, and the maximum age is 70 years. However, a person above 70 years can be appointed as a managing director by passing a special resolution in the general meeting after obtaining the shareholders' approval.

A Private Company must have a minimum of two directors and can have up to fifteen. If needed, the company can exceed this limit by appointing additional directors through a special resolution, which demands support from over 75% of the voting shareholders.

(2) No company shall appoint or re-appoint any person as its managing director, whole-time director or manager for a term exceeding five years at a time: Provided that no re-appointment shall be made earlier than one year before the expiry of his term.
