Sec. 251. (1) Except if required by law to incorporate under another statute of this state, a corporation may be formed under this act for any lawful purposes not involving pecuniary gain or profit for its officers, directors, shareholders, or members.

Section 251A (1) of the Corporations Act 2001 provides that a company must keep minute books in which it records within one month the proceedings and resolutions of directors' meetings (including meetings of a committee of directors).

Sec. 281. (1) A corporation must incorporate as a professional corporation under this chapter if it is incorporated to provide 1 or more services in a learned profession, whether or not it is providing other professional services.

To start a corporation in Michigan, you'll need to do three things: appoint a registered agent, choose a name for your business, and file Articles of Incorporation with the Department of Licensing and Regulatory Affairs (LARA). You can file this document online, by mail or in person.

The report must be filed each year that you operate an LLC within Michigan. The deadline for filing is February 15, unless your business was started after September 30 of the prior year, and then it will not be required to be filed until the following year's deadline.
