The purpose of this rule is to establish the procedures for filing, and the required content of, the corporate governance annual disclosure. All meetings of the board at which official action is taken and deliberation upon official business is conducted shall be open to the public.At a minimum, that means attending and participating in board and committee meetings. Determining the options available for annual meetings requires an analysis of relevant state corporate law as well as the organization's governing documents. The purpose of the Committee is to (1) identify and select, or recommend for the Board's selection, qualified director nominees for each meeting of the. Meetings must be publicized in accordance with state laws and board policies. Virtual meetings remain a valid option under. (d). Meetings of the Board may be held at any place within or without the State of. Ohio. If no designation is made, the place of meeting shall be the principal office of the Corporation in the State of Ohio. (e).
