(a) Meetings of shareholders may be held at any place within or without this state as may be stated in or fixed in ance with the bylaws. If no other place is stated or so fixed, shareholder meetings shall be held at the principal office of the corporation.

California law requires ALL California corporations, even those owned by a single shareholder, to hold an annual meeting of the shareholder(s) for the purpose of electing the board of directors.

While both the directors and the shareholders can meet more often, based on the notice provisions of the Bylaws of the Corporation, the annual meetings of both Directors and Shareholders is a minimum requirement.

Annual shareholder meetings are necessary but they can be costly, ill-attended and often do not add value other than their vital purpose under corporate law.

Do corporate minutes need to be filed or submitted to the government? In California, corporate minutes are not filed or submitted to the California Secretary of State or any other government agency. However, the government may specifically request these documents, for example, during an audit or investigation.

Minutes do not need to be filed with the state but should be kept with other corporate records, such as articles of organization for an LLC, articles of incorporation, bylaws, and resolutions. Experts advise that, like other business documents, minutes should be kept on hand for at least seven years.

The annual meeting should be held on the date and time designated in the bylaws. All shareholders who are entitled to vote are entitled to written notice of the annual meeting as well as any special meeting. Notice must include the date, time and place of the meeting and how shareholders may attend.

Most of my new clients initially prefer to meet once a week and then move on to a more spaced-out frequency once they have tackled the most urgent issues in their business. In my opinion, it's never a good idea to meet too often and have a meeting for the sake of it or waste time discussing what the client hasn't done.
