North Dakota BUS/PROFESSIONAL/FARM CORP ARTICLES of DISC PRIOR to ISSUANCE are documents that must be filed with the North Dakota Secretary of State prior to the dissolution of a business, professional, or farm corporation. These articles are required to provide the public with information about the dissolution of the corporation and must include the name of the corporation, its principal office address, the date of the dissolution, the reason for the dissolution, and the name and address of the person responsible for winding up the corporation's affairs. There are two types of North Dakota BUS/PROFESSIONAL/FARM CORP ARTICLES of DISC PRIOR to ISSUANCE: Articles of Dissolution and Articles of Termination. Articles of Dissolution are filed when the corporation is voluntarily dissolving, while Articles of Termination are filed when the corporation is involuntarily dissolved. Both documents must be signed by all the corporation's directors and officers and notarized.
