Alaska Articles of Consolidation for Domestic Professional Corporation (sometimes referred to as “Consolidation”) is a document that is filed with the Alaska Department of Commerce, Community, and Economic Development (DICED). This document is used to merge two or more Alaska professional corporations into a single corporation. The consolidation must be approved by the DICED and the resulting consolidated corporation must be a domestic professional corporation. The Articles of Consolidation must include the name and address of the surviving or resulting corporation, the names and addresses of all corporations that are being merged, the effective date of the consolidation, a statement of the purpose of the consolidation, and a statement of the manner in which the business and affairs of the consolidated corporation will be conducted. There are two types of Alaska Articles of Consolidation for Domestic Professional Corporation: voluntary and involuntary. Voluntary Articles of Consolidation are filed when the merging corporations mutually agree to combine, while involuntary Articles of Consolidation are filed when the merging corporations do not agree to combine and one corporation is forced to merge into the other.
