Alaska Articles of Dissolution for Domestic Nonprofit Corporation is a legal document that is filed with the Alaska Division of Corporations, Business and Professional Licensing when a domestic nonprofit corporation wishes to terminate its existence. The Articles of Dissolution must provide certain information about the nonprofit organization, such as its name, the date of dissolution, the purpose of dissolution, the name and address of the registered agent, and the date and place of the adoption of the dissolution resolution. The articles must also be signed by a majority of the directors of the corporation. A voluntary dissolution is typically the result of a decision by the board of directors and shareholders to dissolve the organization. An involuntary dissolution occurs when the nonprofit fails to file its annual reports or pay its taxes. In both cases, a copy of the Articles of Dissolution must be submitted to the state of Alaska in order for the dissolution to become official.
