An Alaska Statement of Qualification of Domestic Limited Liability Partnership (also known as an LLC Qualification Statement) is a document filed with the Alaska Division of Corporations, Business & Professional Licensing that states the name of the limited liability partnership (LLP) and verifies that the LLP is authorized to do business in the state of Alaska. The statement must include the name of the partnership, the date of formation, the address of the Alaska office, the name and address of the resident agent, and the name and address of each of the partners. It is important to note that this document is distinct from an Articles of Organization, which is required to form the LLP in Alaska. There are two types of Alaska Statement of Qualifications for Domestic Limited Liability Partnerships. The first type is a Certificate of Limited Liability Partnership (CLIP) which is filed by an LLP that is already in existence. This type of statement verifies that the LLP is in good standing and meets all legal requirements of the state. The second type is an Initial Statement of Qualification, which is used to form a new LLP. This type of statement must be filed by all new Laps in order to legally operate in the state of Alaska.
