Alaska Articles of Merger Limited Liability Company (LLC) is a type of business entity that allows for the merger of two or more existing LCS into a single LLC. This type of merger allows the owners of the LCS to combine their assets, liabilities, and operations into one business entity. The LCS must be in the same jurisdiction and must both be in good standing in order for the merger to be successful. There are two types of Alaska Articles of Merger LCS: a Standard Merger and a Non-Standard Merger. A Standard Merger is when two existing LCS are combined and the resulting entity is a new LLC with the same business name, purpose, and members as the original LCS. A Non-Standard Merger is when two or more LCS are combined and the resulting entity is an existing LLC that has been amended in order to accommodate the merger. In both cases, the merging LCS must file Articles of Merger with the state in which they are registered in order for the merger to be legally valid.
