Alabama Conversion of a Domestic Entity — Limited Liability Company to Limited Liability Partnership is a process in which a domestic Limited Liability Company (LLC) is converted to a Limited Liability Partnership (LLP). To complete the conversion, the LLC must file a certificate of conversion with the Alabama Secretary of State which states the LLC is changing its structure to a LLP. Depending on the type of conversion, the LLC may also need to file other forms such as an Amended Certificate of Formation, a Certificate of Amendment, or a Certificate of Merger. There are two types of Alabama Conversion of a Domestic Entity — Limited Liability Company to Limited Liability Partnership: 1. Simple Conversion: This type of conversion requires that the LLC file a Certificate of Conversion with the Alabama Secretary of State only. 2. Conversion with Merger: This type of conversion requires the LLC to file a Certificate of Conversion and a Certificate of Merger with the Alabama Secretary of State. The Certificate of Merger must include information about the merger, including the name and address of the surviving LLP, the type of entity it is being merged into, and the name and address of the registered agent of the surviving LLP.
