Alabama Conversion of a Domestic Entity — LLallLLPPLP, is the process of converting a limited liability partnership (LLP) to a limited liability limited partnership (LL LP) in the state of Alabama. An LLP is a business structure that allows two or more partners to share profits and losses while limiting each partner’s liability to their individual contributions. An LL LP is a type of partnership in which at least one partner has limited liability, while the other partners have unlimited liability for the LL LP’s debts and other liabilities. The process of conversion from LLP to LL LP in Alabama involves the filing of a Certificate of Conversion with the Alabama Secretary of State. The Certificate must include the name of the LLP, the name of the proposed LL LP, the date of conversion, the address of the principal office, the name and address of the registered agent, and the signature of a partner or other representative authorized to sign on behalf of the LLP. There are two types of Alabama Conversion of a Domestic Entity — LLallLLPPLP, they are: 1) Administrative Conversion — This type of conversion is done when the partners of the LLP unanimously agree to convert the entity to an LL LP. The partners must approve the conversion in writing and submit the Certificate of Conversion to the Alabama Secretary of State. 2) Judicial Conversion — This type of conversion is done when the partners of the LLP do not unanimously agree to convert the entity to an LL LP. In order to convert the entity, the partners must petition the court to approve the conversion and submit the Certificate of Conversion to the Alabama Secretary of State. Both types of conversion require the filing of a Certificate of Conversion with the Alabama Secretary of State in order to become legally effective.
