The Alabama Foreign Limited Liability Partnership (LLP) Certificate of Withdrawal is a legal document filed with the Secretary of State. It’s used to officially terminate the existence of a foreign LLP in the state of Alabama. The Certificate of Withdrawal must be filed by the foreign LLP’s registered agent in order to officially terminate the entity. It must include the LLP’s name, the date of withdrawal, the registered agent’s signature, and the signature of individuals authorized to sign on behalf of the foreign LLP. There are two types of Alabama Foreign LLP Certificate of Withdrawal: Voluntary and Involuntary. A Voluntary Certificate of Withdrawal is filed when the LLP voluntarily terminates its existence. An Involuntary Certificate of Withdrawal is filed when the LLP is involuntarily terminated due to a court order or other legal action.
