Alabama Domestic Business Corporation Articles of Dissolution is a legal document used to formally dissolve a Domestic Business Corporation in the state of Alabama. This document is used to terminate the legal existence of the corporation and must be filed with the Alabama Secretary of State. There are two types of Alabama Domestic Business Corporation Articles of Dissolution: Voluntary and Involuntary. Voluntary Articles of Dissolution are used when the corporation is dissolved by the shareholders, while Involuntary Articles of Dissolution are used when the corporation is dissolved by the court. Both types of Articles of Dissolution require the corporation’s name, date of filing with the Secretary of State, the corporation’s articles of incorporation, the names and addresses of the corporation’s directors, and a statement indicating that all debts have been paid and all assets distributed. The Articles of Dissolution must also be signed by all shareholders. Once the Articles of Dissolution have been filed with the Secretary of State, the corporation will be officially dissolved.
