Alabama Domestic LLC Articles of Dissolution are documents that are filed with the Secretary of State of Alabama to officially dissolve a Domestic Limited Liability Company (LLC). The Articles of Dissolution must contain the LLC’s name, the date of dissolution, and the signature of a member or manager. There are two types of Alabama Domestic LLC Articles of Dissolution: Voluntary and Involuntary. Voluntary Dissolution occurs when the LLC’s members decide to dissolve the LLC. The LLC must first receive a unanimous vote from all members to dissolve, after which the Articles of Dissolution must be filed with the Secretary of State. Involuntary Dissolution occurs when a court orders the dissolution of the LLC due to failure to comply with state regulations, or if the LLC cannot pay its debts. The court will issue a dissolution order which must also be filed with the Secretary of State, along with the Articles of Dissolution.
