An Arkansas Statement of Merger is a legal document that must be filed with the Arkansas Secretary of State to form a business entity as a merger. This document outlines the details of the merger, including the name and address of the surviving entity, the name and address of the merging entities, the date of the merger, the type of business entity (i.e. corporation, LLC, etc.), the names of the directors and officers of the surviving entity, and the effective date of the merger. There are two types of Arkansas Statement of Merger: a Short Form Merger and a Long Form Merger. The Short Form Merger is used for mergers of two entities that are already registered to do business in Arkansas. The Long Form Merger is used for mergers involving entities that are not registered to do business in Arkansas. Both types of merger document must be filed with the Arkansas Secretary of State in order to be legally recognized.
