An Arizona Notice of Intent to Abandon is a legal document filed with the Arizona Corporation Commission that serves as a public record of a corporation's intent to dissolve or abandon its authority to do business in the state. A Notice of Intent to Abandon must be filed when a corporation wishes to cease conducting business in the state or has already ceased operations. The Notice must be signed by an officer of the corporation and must include the corporation's name, registered agent's name, and the address of the corporation's principal office. There are two types of Arizona Notice of Intent to Abandon: voluntary and involuntary. A voluntary Notice of Intent to Abandon is filed when a corporation decides to voluntarily cease conducting business in the state. An involuntary Notice of Intent to Abandon is filed when a corporation is involuntarily dissolved, such as when the corporation fails to pay taxes or fees to the state.
