The Arizona Certificate of Cancellation of Application for Registration (Foreign LLC) is a document that is filed with the Arizona Corporation Commission (ACC) in order to cancel the registration of a foreign limited liability company (LLC) in the state of Arizona. The certificate is used to officially dissolve a foreign LLC’s presence in the state and notify the ACC of the dissolution. There are two types of Arizona Certificate of Cancellation of Application for Registration (Foreign LLC): 1) a voluntary cancellation, which is used when a foreign LLC chooses to voluntarily dissolve its registration in the state; and 2) an involuntary cancellation, which is filed when the ACC revokes the registration of a foreign LLC due to non-compliance with state laws or failure to maintain an active registered agent in the state. The certificate must include the name of the foreign LLC, the date of filing of the certificate, and the signature of a person authorized to act on behalf of the LLC.
