The Arizona Statement of Domestication is a document that is filed with the Arizona Corporation Commission to document a foreign (out-of-state) business entity's intention to "domesticate" (or move) its business into Arizona. This document is usually required when an out-of-state company wishes to conduct business in Arizona. The Arizona Statement of Domestication must include the name of the entity, the state or country where it is currently organized, and the date of the original formation. It must also include the names and addresses of the entity's governing persons. The Statement of Domestication must be accompanied by a Certificate of Good Standing from the state or country in which the entity is currently organized and a Certificate of Authority from the Arizona Corporation Commission. There are two types of Arizona Statement of Domestication: (1) Statement of Domestication for a Corporation, and (2) Statement of Domestication for a Limited Liability Company. Both documents require that the entity provide the necessary information listed above. Once filed, the Statement of Domestication will create a new legal entity in Arizona and the entity will be subject to the laws of Arizona.
