California Sample Corporate Consulting Agreement between Tech Fund and Del soft Consulting, Inc. This California Sample Corporate Consulting Agreement is entered into between Tech Fund (referred to as "Client") and Del soft Consulting, Inc. (referred to as "Consultant"), collectively referred to as "parties." The purpose of this agreement is to outline the terms and conditions under which Consultant will provide consulting services to Client. 1. Scope of Services: Consultant agrees to provide Client with a range of corporate consulting services, including but not limited to strategic planning, market research, financial analysis, project management, and business development. The specific services to be provided by Consultant shall be detailed in an attached exhibit. 2. Duration and Termination: This agreement shall commence on the effective date mentioned herein and shall continue for an initial term of ________ months/years. Ownership of Work: Consultant agrees that any work product, intellectual property, or deliverables created or developed during the term of this agreement shall become the exclusive property of the Client. Consultant shall have no rights, claims, or interest in such materials, including any associated copyrights or intellectual property rights. 6. Independent Contractor Relationship: Both parties acknowledge and agree that Consultant shall operate as an independent contractor and not as an employee, partner, agent, or representative of the Client. Consultant retains the right to control the manner and means by which the services are performed. 7. Governing Law: This agreement shall be governed by the laws of the state of California. Any disputes arising out of or relating to this agreement shall be resolved through negotiation, mediation, or, if necessary, litigation in a court of competent jurisdiction in the state of California. 8. Entire Agreement: This agreement constitutes the entire understanding and agreement between the parties and supersedes any prior agreements, written or oral, relating to the subject contained herein.
