A Connecticut Certificate of Amendment is a document issued by the Connecticut Secretary of the State that allows a corporation or limited liability company (LLC) to amend certain aspects of their business structure, such as the name, address, and registered agent. There are two types of Connecticut Certificate of Amendment: Certificate of Amendment to the Articles of Incorporation and Certificate of Amendment to the Certificate of Organization. The Certificate of Amendment to the Articles of Incorporation is used to amend existing articles of incorporation or to add new elements to the articles, while the Certificate of Amendment to the Certificate of Organization is used to amend an existing LLC’s certificate of organization or to add new elements to the certificate. Both certificates must be signed by an authorized representative of the corporation or LLC.
