The Connecticut Certificate of Cancellation is a document used to officially cancel a business entity in the state of Connecticut. This document is issued by the Connecticut Secretary of State’s office. There are two types of Connecticut Certificates of Cancellation: 1) Certificate of Cancellation of a Domestic Limited Liability Company, and 2) Certificate of Cancellation of a Foreign Limited Liability Company. The Certificate of Cancellation of a Domestic Limited Liability Company is applicable only to domestic limited liability companies, and the Certificate of Cancellation of a Foreign Limited Liability Company is applicable only to foreign limited liability companies. Both certificates must include the name of the business entity, its date of formation, the date of the cancellation, and the signature of the Connecticut Secretary of State. The Certificate of Cancellation must be filed with the Connecticut Secretary of State in order to officially cancel the business in the state of Connecticut.
