A District of Columbia Statement of Abandonment of a Plan of Merger of a Domestic Filing Entity is a document that is filed with the Corporation Division of the Secretary of the District of Columbia. This statement is used to declare that a plan of merger of a domestic filing entity, such as a corporation, limited liability company, limited partnership, or limited liability partnership, has been abandoned. This document can be filed by the merging entities, or by a representative of the merging entities, such as an attorney or other representative. This document must be properly completed and signed before being submitted to the Corporation Division. There are two types of District of Columbia Statement of Abandonment of a Plan of Merger of a Domestic Filing Entity: in-process abandonment and post-merger abandonment. An in-process abandonment is one that is filed before the merger has been completed. A post-merger abandonment is one that is filed after the merger has been completed. Both types of statements must be filed with the Corporation Division in order for the merger to be considered abandoned.
