Delaware Certificate of Registration of Foreign Limited Partnership is a document issued by the Delaware Secretary of State to register a foreign limited partnership in the state of Delaware. It allows a foreign limited partnership to conduct business in the state of Delaware and is required in order for the partnership to obtain a Certificate of Authority to conduct business. The Certificate of Registration of Foreign Limited Partnership must include the name of the foreign limited partnership, its state of formation, the registered agent in Delaware, and the address of the registered office. There are two types of Delaware Certificate of Registration of Foreign Limited Partnership: the Initial Certificate of Registration and the Renewal Certificate of Registration. The Initial Certificate of Registration must be filed in order to register the foreign limited partnership in the state of Delaware, and the Renewal Certificate of Registration must be filed annually in order to maintain the partnership’s status in Delaware.
