A Delaware Qualification Certificate of A Foreign Corporation, also known as a Certificate of Authority, is a document issued by the Delaware Secretary of State to a foreign corporation that has registered to do business in the state. This certificate allows the foreign corporation to conduct business in the state, including entering into contracts, suing or being sued, and owning property in Delaware. There are two types of Delaware Qualification Certificate of A Foreign Corporation: an initial qualification certificate and a renewal certificate. An initial qualification certificate is issued to a foreign corporation that has filed the required registration documents with the Delaware Secretary of State. A renewal certificate is issued to a foreign corporation that has previously been issued an initial qualification certificate and has filed the appropriate documents to maintain their registration.
