A Delaware Certificate of Revival of Charter For Voided Corporation is a legal document issued by the Delaware Secretary of State that is used to re-establish the legal status of a void or inactive Delaware corporation. The certificate serves to revive the corporate charter of the corporation, and reinstate its authority to conduct business in the state of Delaware. The Delaware Certificate of Revival of Charter For Voided Corporation is also referred to as a Certificate of Revival of Charter, Certificate of Revival, or simply a Revival Certificate. There are two types of Delaware Certificate of Revival of Charter For Voided Corporation: (1) a Standard Certificate of Revival, which is used to revive a Delaware corporation that has been inactive or void for a period of three years or less, and (2) an Extended Certificate of Revival, which is used to revive a Delaware corporation that has been inactive or void for a period of more than three years. Both certificates require the completion of an application form and payment of a filing fee. The Extended Certificate of Revival also requires additional documentation, such as a statement from the registered agent that the corporation was inactive or void for more than three years.
